Terms of Purchase-Sale of Goods
1. General Provisions
1.1. These rules for the online store (hereinafter referred to as the Rules) constitute a legally binding document between the Buyer and the Seller (hereinafter referred to as the Seller), establishing the rights and obligations of the Parties.
1.2. The Seller reserves the right to amend, modify, or supplement these Rules at any time. Changes to the Rules will be communicated to the Buyer on the online store's website.
2. Formation of the Purchase-Sale Agreement
2.1. A purchase-sale agreement between the Buyer and the Seller is considered concluded when the Buyer forms and submits an order in the online store after reviewing these Rules.
3. Seller’s Rights
3.1. Under exceptional circumstances, the Seller may temporarily or permanently suspend the operation of the online store without prior notice to the Buyer.
3.2. If the Buyer attempts to disrupt the functionality, stability, or security of the online store or violates their obligations, the Seller has the right to limit or suspend the Buyer's access to the online store without prior notice.
4. Seller’s Obligations
4.1. The Seller undertakes to enable the use of the online store services as defined in these Rules.
4.2. The Seller is obligated to deliver the Buyer’s purchased goods via the chosen delivery method, following the conditions outlined in these Rules.
4.3. If unforeseen circumstances prevent the Seller from delivering the ordered goods, the Seller has the right to terminate the purchase-sale agreement after informing the Buyer. The Seller may offer an alternative product. If the Buyer declines, the Seller commits to refund the paid amount within 5 business days.
4.4. When the Buyer exercises the right outlined in clause 5.2, the Seller commits to refund the paid amount within 10 business days of receiving the returned goods.
4.5. The Seller may withhold a refund until the goods are returned or until proof of shipment is provided by the Buyer, whichever occurs first.
5. Buyer’s Rights
5.1. The Buyer has the right to purchase goods in the online store in accordance with these Rules.
5.2. The Buyer may withdraw from the purchase-sale agreement within 14 calendar days from the delivery of the goods by notifying the Seller in writing.
5.3. The right to withdraw, as stated in clause 5.2, is valid only if the goods have not been damaged, their appearance has not substantially changed, and they have not been used.
6. Buyer’s Obligations
6.1. The Buyer must pay for the purchased goods and accept them as outlined in these Rules.
6.2. If the Buyer refuses to accept the goods during delivery without valid reasons, the Buyer must cover the return shipping costs upon the Seller’s request.
6.3. During delivery, the Buyer must inspect the condition of the goods and packaging together with the Seller or delivery personnel.
6.4. By using the online store, the Buyer confirms their agreement with these Rules and is obligated to follow them.
7. Prices of Goods
7.1. All prices in the online store are listed in euros, inclusive of VAT. A delivery fee, if applicable, is added to the total amount after order confirmation.
8. Ordering and Payment
8.1. The Buyer selects desired goods in the online store and adds them to the shopping cart. After forming the cart, the Buyer provides personal details necessary for completing the order: name, surname, delivery address, phone number, and additional relevant information. The Buyer confirms that they have reviewed the Rules and submits the order.
8.2. Payments are processed via the Paysera system, ensuring the highest standards of security and reliability. Buyers can choose their preferred payment method, such as debit/credit card, online banking, or standard bank transfer.
9. Delivery of Goods
9.1. The Buyer must provide an accurate delivery address when placing an order.
9.2. The Buyer must accept the goods personally. If this is not possible, and the goods are delivered to the specified address, the Buyer has no right to raise claims regarding delivery to an incorrect recipient.
9.3. The Seller delivers goods according to the timeframes indicated in the product descriptions.
9.4. Product descriptions include all relevant features. The Seller is not responsible if the colors, shapes, or other attributes differ due to the Buyer's monitor settings.
9.5. If the Buyer cancels the purchase-sale agreement, all paid amounts, including delivery fees, are refunded.
10. Returns
10.1. Quality goods can be returned within 14 days of receipt. Faulty goods are handled in accordance with the Civil Code of the Republic of Lithuania.
10.2. Returns must comply with these conditions:
- Items must be in their original, intact packaging (except for faulty goods).
- Items must be undamaged and unused.
- Original labels and protective films must be intact (except for faulty goods).
- The product must include all components received.
10.3. Refunds for accepted returned goods are processed within 10 business days, unless agreed otherwise.
11. Personal Data Protection
11.1. The online store Virves.lt is owned by UAB "Žemaičių Virvės". The Buyer must provide personal data, such as name, address, and contact details, when placing an order.
11.2. By accepting these Rules, the Buyer agrees to the processing of personal data for order fulfillment and Seller’s business analysis.
11.3. The Buyer agrees to receive necessary notifications for completing the order.
11.4. The Seller undertakes to protect the Buyer's personal data and not disclose it to third parties, except in cases required by law or with the Buyer’s written consent.
12. Final Provisions
12.1. These Rules are governed by the laws of the Republic of Lithuania.
12.2. Disputes are resolved through negotiations or in accordance with Lithuanian law.
12.3. The Parties are released from obligations under these Rules if performance is impossible due to unforeseen circumstances (force major).
